Terms of Use for AIMS

1. Acceptance of Terms

By accessing or using the Asset Information Management Solutions (AIMS) platform provided by Troika Solutions, LLC (“Troika,” “we,” or “us”), you agree to be bound by these Terms of Use (“Terms”). These Terms apply to all authorized users (“Users”) of AIMS, including personnel and contractors managed by Client Admins within the U.S. Marine Corps (USMC), U.S. Army, or other client organizations. If you do not agree to these Terms, you may not use AIMS.

2. Authorized Use

Eligibility: AIMS is licensed to client organizations on a per- Subordinate Unit Code (SUC) basis or enterprise-wide agreement. Users are authorized by Client Admins and identified by a valid email address. Access is not restricted to government-issued devices or Common Access Card (CAC) authentication.

User Roles:

  • Basic Users: Create/manage inventories, assign SUC Responsible Individuals for review, reassign inventories within SUCs, edit open inventories, manage Record Jackets, submit UURI requests, and update personal email/password settings.
  • SUC Responsible Individuals: Perform Basic User tasks, plus approve/reject inventories, manage CMRs, assign users to inventories, add/remove users from SUCs, promote users to SUC Responsible Individuals, create new users, move/merge/edit/archive Record Jackets within their SUCs.
  • Client Admins: Full control, including all SUC Responsible Individual tasks, plus creating/editing/removing SUCs, assigning Responsible Officer roles, approving UURI requests, configuring inventory policies, managing UFDs, and moving/merging/editing/archiving Record Jackets across all SUCs.

Permissions are SUC-specific; Users with roles in multiple SUCs have permissions tied to each SUC's Record Jackets.

Permitted Use: Users may use AIMS for inventory management, auditing, and asset tracking (e.g., ordnance, armories, communications, motor transport) within their assigned SUCs, as authorized by their client organization.

Restrictions: Users may not: (i) share login credentials; (ii) modify, reverse-engineer, or distribute AIMS; (iii) use AIMS for unauthorized purposes; (iv) attempt to access data outside their assigned SUCs; or (v) interfere with or attempt to bypass security controls, logging, access controls, or session management features.

Prohibited Uploads: Users may not upload content they are not authorized to provide, including classified information, export-controlled information, or Controlled Unclassified Information (CUI) requiring higher Impact Level controls than the AIMS environment is designed to support, or any content that violates applicable law, policy, or client directives.

3. Service Description

AIMS is a cloud-based Software-as-a-Service (SaaS) platform hosted on Amazon Web Services (AWS), providing user access, items, inventories, Record Jackets, SL-3 publication extraction workflows, customer support, bug fixes, and continuous enhancements.

  • Service Commitments: Troika provides service availability and support as outlined in any separate service terms or service-level commitments provided to the client organization. AIMS does not offer offline capabilities.
  • Updates: Troika may deliver software updates to enhance functionality and security.

Security Monitoring and Session Controls: To protect AIMS and client data, Troika may collect and use technical and security signals (including IP address, device and browser attributes, pseudonymous device identifiers, and session activity timestamps) and may enforce security measures such as session timeouts, re- authentication, restrictions on concurrent sessions, termination of sessions for inactivity, and programmatic logout (including when an account is suspended or access is revoked). Troika may also investigate suspicious activity and take steps reasonably necessary to protect the platform.

4. Intellectual Property

Troika retains all rights, title, and interest in AIMS, including its software, algorithms, and documentation. Users receive a non-exclusive, non-transferable license to use AIMS during the applicable subscription term.

No intellectual property is transferred to clients, including under Government-Owned Contractor-Operated models. Any attempt to modify or reverse-engineer AIMS is strictly prohibited and may result in termination of access and legal action.

5. Communications and Marketing

By creating an account and using AIMS (or any AIMS tool), Users consent to receive emails from Troika related to the platform, including operational notices, security notifications, product updates, and event invitations. Users may opt out of non- essential promotional communications by contacting legal@troikasol.com or using an unsubscribe mechanism where provided. Transactional, security, and service-related communications may still be sent when necessary to operate and secure the platform.

6. Termination and Enforcement

  • By Troika: Troika may suspend or terminate access for breach of these Terms, non-payment by the client organization, suspected compromise, or unauthorized use. Troika may suspend access immediately when necessary to protect the platform or client data, and may provide notice where practicable.
  • By Client: Client organizations may terminate the subscription per applicable contract terms, typically with advance notice.

Data Handling: Upon termination, clients may have up to one (1) year to export their data. After termination, Users may be permitted to log in to view data but may not create, read, update, or delete (CRUD) content. Troika may retain data for potential client re-engagement and operational continuity and reserves the right to delete data after the contract expires.

7. Limitation of Liability and Indemnification

To the maximum extent permitted by law, Troika disclaims liability for indirect, incidental, special, consequential, or punitive damages arising from or related to AIMS, including service interruptions, security incidents, or misuse of the platform. Users use the platform at their own risk.

Users agree to indemnify and hold Troika harmless against claims, damages, losses, and expenses resulting from their misuse of AIMS, violation of these Terms, or unauthorized or prohibited uploads.

8. Governing Law and Dispute Resolution

These Terms are governed by applicable U.S. federal law. To the extent permitted, disputes will be resolved in federal or state courts located in Virginia, and Users consent to personal jurisdiction and venue in those courts.

10. Amendments and Precedence

These Terms govern use of AIMS and control unless Troika expressly agrees in writing to different terms for a specific client organization or engagement.
